Change Em to Dm, and this is perfect.

First, much respect for giving this a try. The song has been transcribed by Maxwell from the original sheet music. And it's an emotionally and musically complex tune with deep 4-and 5-note extended chords. 3-note chords usually aren't seen in R&B, jazz and jazz-inflected rock songs (Maze, Erykah Badu, Steely Dan).

Just addressing verse 1, the fundamental movement should be vi - IV - I - IV. The original sheet music is in E and goes C#m7 - Amaj9 - Esus2/G# - Amaj9.

Therefore your transcription (into C) should go: Am7, Fmaj9, Csus2/E, Fmaj9. At the very least the 3rd chord should be C(add2). Your Em is close though since it has the E and the G.

The song is bittersweet and the presence of minor sevenths, major ninths, add2s etc are essential. I don't have time to transcribe the entire thing but if you listen to the original and give my chords a try I think you'll hear that's what's up. And thank you for taking your time to offer your version. We all hear different things and I always want my comments to be taken in a positive and constructive way.

Actually now that I'm working on it I'm hearing that the original sheet music is actually spot on. The melody is firmly in E. Even so the transcription should match the original fundamental changes vi - IV - I - IV.
